1. Introduction

Welcome to the Optimaize BV GBP analysis service ("the Service"). The Service is an online application that uses artificial intelligence (AI) to analyse Google Business Profiles ("GBP") and generate automated improvement suggestions. These Terms govern your use of the Service. By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Acceptance of the Terms

By creating an account or using the Service, you acknowledge that you have read, understood and agree to these Terms. If you use the Service on behalf of a company or other legal entity, you represent that you are authorised to bind that entity.

3. User accounts

3.1. Minimum age

You must be at least 16 years old to use the Service. If you are under 18, you must have permission from your parents or legal guardian.

3.2. Creating an account

To use the Service you must create an account with a valid email address or one of our supported third-party login options (Google, Microsoft, Twitter or Apple ID).

3.3. Account security

You are responsible for keeping your account credentials confidential and for all activity under your account. You agree to notify Optimaize BV immediately of any unauthorised use.

3.4. Authority to analyse a GBP

You represent and warrant that for each Google Business Profile you analyse via the Service you are either (a) the owner of the underlying business, or (b) expressly authorised by the owner to manage or analyse that profile. You indemnify Optimaize BV against all third-party claims arising from the absence of such authority.

3.5. Free credit

New users receive €10 in free credit after account validation. This credit is subject to our fair use policy and may be revoked in case of misuse.

4. User conduct

4.1. Lawful use

You agree to use the Service only for lawful purposes and in accordance with these Terms, Google's policies and the applicable Google Business Profile guidelines.

4.2. Prohibited activities

You may not:

  • Use the Service to violate applicable law or regulation.
  • Attempt unauthorised access to the Service or related systems.
  • Disrupt or impair the integrity or performance of the Service.
  • Use the Service to distribute viruses, malware or other harmful code.
  • Impersonate another person or misrepresent your relationship with a person or entity.
  • Analyse GBPs for which you are not authorised, or do so with malicious intent or in violation of privacy law.
  • Implement improvement suggestions in a manner that violates Google's Business Profile guidelines, including misleading information, spam, keyword stuffing, fake reviews or fake listings.
  • Direct large volumes of automated requests (scraping, bots) at the Service or use it to collect third-party data outside the intended use.
  • Use the Service to harm competitors unfairly.

4.3. Responsibility for content and implementation

You are solely responsible for (a) all content you input into the Service, (b) the decision whether to apply improvement suggestions to your GBP, and (c) all consequences arising from implementing those suggestions.

5. Third-party services and Google Business Profile

5.1. Dependency on Google

The Service uses publicly available Google data to analyse GBPs. The Service has no direct integration with Google and does not request access to your Google account; you publish all generated content yourself. When you post content to your GBP, that is subject to Google's terms and privacy policy.

5.2. Changes by Google

Google may change its policies, APIs, algorithms or Business Profile guidelines at any time. Optimaize BV is not responsible for the consequences of such changes, including reduced functionality, incomplete or outdated analyses, or previously generated suggestions becoming unsuitable.

5.3. Actions by Google

Optimaize BV has no control over actions Google may take regarding your GBP, including suspension, removal, lower ranking, rejection of edits or other measures, and accepts no liability for them.

6. Intellectual property

6.1. Ownership of the Service

Optimaize BV and its licensors retain all rights, title and interest in and to the Service, including the underlying software, algorithms, AI models and all related IP.

6.2. Licence to user

Subject to these Terms, Optimaize BV grants you a limited, non-exclusive, non-transferable and revocable licence to use the Service for its intended purposes.

6.3. User content

You retain ownership of all business and profile content you input or that belongs to your own GBP. By using the Service, you grant Optimaize BV a worldwide, royalty-free licence to use, reproduce and process this content solely for the purpose of providing and improving the Service and generating improvement suggestions.

6.4. Third-party GBP data

Data from Google or from third-party GBPs (e.g. for competitor or benchmark analyses) remains owned by their respective owners. The Service provides access to such analyses only as permitted by applicable law and Google's terms.

6.5. Improvement suggestions

AI-generated improvement suggestions are made available for use on the analysed GBP. You may not commercially resell or distribute them as a stand-alone product, nor systematically extract them from the Service for use outside its intended purpose.

7. Privacy and data processing

Your use of the Service is also governed by our Privacy Policy, incorporated by reference. Where Optimaize BV processes personal data on your behalf, the parties may enter into a data processing agreement under the GDPR upon request.

8. Accuracy of AI output and improvement suggestions

8.1. Nature of the output

The Service uses advanced AI to analyse GBPs and generate improvement suggestions. While we aim for high quality, AI-generated analyses and suggestions are informational and advisory in nature and are not guaranteed to be 100% accurate, complete or current.

8.2. No guarantee of results

Optimaize BV makes no warranty that following the suggestions will result in: (a) a higher position in Google search results or Google Maps, (b) more visitors, leads or revenue, (c) approval of proposed changes by Google, or (d) any other specific commercial result. Search engine rankings depend on many factors outside our control.

8.3. User responsibility

You acknowledge and agree that:

  • AI-generated output may not always be accurate, current or complete.
  • You must verify and evaluate the output yourself before implementing it.
  • You may not rely on the output as the sole basis for important business decisions without additional verification or professional advice.
  • You remain responsible for implementing suggestions on your GBP and for compliance with Google's guidelines.
  • Optimaize BV is not responsible for decisions you make based on AI-generated output.

9. Payments and subscriptions

9.1. Prices

Current prices are available on our website or within the Service. All prices include VAT unless otherwise stated.

9.2. Payment methods

We accept various payment methods as listed in the Service. You agree that you are authorised to use the payment method you select.

9.3. Subscriptions

Some features require a subscription. Subscriptions automatically renew for successive periods unless you cancel before the next renewal date.

9.4. Cancellation

You may cancel your subscription at any time from your account settings. After cancellation you retain access to subscription features until the end of the current billing period.

9.5. Price changes

We reserve the right to change our prices. For existing subscriptions, we will notify you of any price increase at least 30 days in advance.

10. Limitation of liability

10.1. Disclaimer

The Service is provided "as is" and "as available". Optimaize BV makes no warranties regarding the availability, reliability, accuracy or fitness of the Service or improvement suggestions for your specific purposes.

10.2. Excluded damages

To the extent permitted by law, Optimaize BV is not liable for any indirect, incidental, special or consequential damages, including but not limited to:

  • Loss of profit, revenue, customers or goodwill;
  • Loss of search engine position, visibility or findability;
  • Suspension, removal or other actions by Google regarding your GBP;
  • Consequences of changes in Google's policies, algorithms or guidelines;
  • Costs of reverting or restoring implemented suggestions;
  • Loss of data or use.

10.3. Maximum liability

In no event will Optimaize BV's total liability for all claims relating to the Service exceed the amount you have paid for the Service in the 12 months preceding the claim, or €100, whichever is higher.

11. Changes to the Terms

11.1. Right to modify

Optimaize BV reserves the right to modify these Terms from time to time. We will notify you of material changes via the Service or by email at least 30 days before they take effect.

11.2. Continued use

Your continued use of the Service after the effective date of the modified Terms means you accept the changes. If you do not agree, you must stop using the Service.

12. Termination

12.1. By the user

You may terminate your account at any time from your account settings or by contacting customer support.

12.2. By Optimaize BV

We may terminate or suspend your access to the Service if you breach these Terms, use the Service in violation of Google's policies or guidelines, or if we reasonably believe your use is harmful to Optimaize BV, Google or other users.

12.3. Consequences of termination

On termination your licence to use the Service ends immediately. Any remaining paid credit is handled in line with our refund policy.

13. Governing law and dispute resolution

These Terms are governed by Dutch law. Any disputes arising from or relating to these Terms or your use of the Service will be submitted to the competent courts in the Netherlands.
